₹22,000 Crore in Claims, ₹6.25 Crore Repayment Plan: Subhash Chandra Insolvency Case Raises Questions Over Personal Guarantees
BIG QUESTIONS OVER PERSONAL GUARANTEES: Essel Group founder ਅਤੇ Zee ਦੇ ਸੰਸਥਾਪਕ Subhash Chandra ਨਾਲ ਜੁੜੇ personal insolvency proceedings ਵਿੱਚ NCLT ਵੱਲੋਂ ਮਨਜ਼ੂਰ ਕੀਤੇ repayment plan ਨੇ India ਦੇ banking ਅਤੇ insolvency framework ਬਾਰੇ ਇੱਕ ਵੱਡੀ debate ਖੜ੍ਹੀ ਕਰ ਦਿੱਤੀ ਹੈ। The Indian Express ਦੀ reporting ਮੁਤਾਬਕ, proceedings ਵਿੱਚ admitted claims ਲਗਭਗ ₹22,006.57 ਕਰੋੜ ਸਨ, ਜਦਕਿ approved plan ਹੇਠ Chandra ਵੱਲੋਂ creditors ਲਈ ਲਗਭਗ ₹6.25 ਕਰੋੜ ਦਾ payout ਰੱਖਿਆ ਗਿਆ ਹੈ।
ਇਨ੍ਹਾਂ ਅੰਕੜਿਆਂ ਨੂੰ ਸਿੱਧੇ ਤੌਰ ‘ਤੇ compare ਕੀਤਾ ਜਾਵੇ ਤਾਂ recovery ਲਗਭਗ 0.03% ਅਤੇ haircut ਤਕਰੀਬਨ 99.97% ਬਣਦਾ ਹੈ। ਪਰ ਇੱਥੇ ਇੱਕ ਬਹੁਤ ਜ਼ਰੂਰੀ clarification ਹੈ: ₹22,006.57 ਕਰੋੜ ਨੂੰ ਸਿੱਧਾ Chandra ਵੱਲੋਂ personally borrowed ₹22,000 ਕਰੋੜ ਕਹਿਣਾ ਸਹੀ ਨਹੀਂ ਹੋਵੇਗਾ। Proceedings corporate borrowings ਲਈ ਦਿੱਤੀਆਂ personal guarantees ਨਾਲ ਸਬੰਧਤ ਹਨ। Chandra ਦੇ office ਨੇ ਵੀ ਕਿਹਾ ਹੈ ਕਿ objecting creditors ਵੱਲੋਂ personal guarantor ਵਜੋਂ ਉਨ੍ਹਾਂ ਖ਼ਿਲਾਫ਼ claim ਲਗਭਗ ₹3,992 ਕਰੋੜ ਹੈ, ਨਾ ਕਿ ₹22,000 ਕਰੋੜ।
LIC Housing Finance ਦਾ ਮਾਮਲਾ
ਇਸ case ਦਾ ਸਭ ਤੋਂ striking example LIC Housing Finance (LICHFL) ਦਾ ਹੈ। Company ਮੁਤਾਬਕ, ਦੋ loan accounts ਵਿੱਚ Subhash Chandra personal guarantor ਸਨ। Insolvency proceedings ਵਿੱਚ LICHFL ਦਾ admitted claim ₹1,322.39 ਕਰੋੜ ਦੱਸਿਆ ਗਿਆ ਹੈ, ਜਦਕਿ approved repayment plan ਹੇਠ ਇਸ ਨੂੰ ਸਿਰਫ਼ ₹38.09 ਲੱਖ ਮਿਲਣੇ ਹਨ।
ਪਰ ਇੱਥੇ ਵੀ ਇੱਕ ਮਹੱਤਵਪੂਰਨ distinction ਹੈ। LIC Housing Finance ਨੇ ਸਪੱਸ਼ਟ ਕੀਤਾ ਹੈ ਕਿ NCLT ਦਾ ਇਹ order principal borrower companies ਦੀ corporate liability ਨੂੰ ਖਤਮ ਨਹੀਂ ਕਰਦਾ ਅਤੇ secured assets ਉੱਤੇ LICHFL ਦੇ security interests ਅਤੇ recovery rights ਜਾਰੀ ਹਨ। ਇਸ ਲਈ ₹38.09 ਲੱਖ ਨੂੰ lender ਦੀ ਹਰ possible recovery ਦਾ final total ਮੰਨਣਾ misleading ਹੋ ਸਕਦਾ ਹੈ।
HDFC Bank ਵੀ Appeal ਬਾਰੇ ਵਿਚਾਰ ਕਰ ਰਿਹਾ
HDFC Bank ਨੇ ਕਿਹਾ ਹੈ ਕਿ ਉਹ NCLT order ਖ਼ਿਲਾਫ਼ appeal explore ਕਰ ਰਿਹਾ ਹੈ। Bank ਮੁਤਾਬਕ ਉਸਦਾ admitted claim total claims ਦਾ ਲਗਭਗ 3.2% ਸੀ ਅਤੇ ਇਹ exposure erstwhile HDFC Ltd ਤੋਂ merger ਮਗਰੋਂ HDFC Bank ਕੋਲ ਆਇਆ ਸੀ।
ਇਸ ਨਾਲ ਇਹ ਸਪੱਸ਼ਟ ਹੈ ਕਿ NCLT approval ਨਾਲ dispute necessarily ਖਤਮ ਨਹੀਂ ਹੋਇਆ। Appellate proceedings ਰਾਹੀਂ order ਅਤੇ repayment structure ਨੂੰ ਅੱਗੇ challenge ਕੀਤਾ ਜਾ ਸਕਦਾ ਹੈ।
Repayment Plan ਪਾਸ ਕਿਵੇਂ ਹੋਇਆ?
ਇੱਥੇ ਸਭ ਤੋਂ ਮਹੱਤਵਪੂਰਨ issue creditors ਦੀ voting ਹੈ।
The Indian Express ਦੀ investigation ਮੁਤਾਬਕ 23 creditors ਨੇ voting process ਵਿੱਚ ਹਿੱਸਾ ਲਿਆ। Banks ਅਤੇ ਹੋਰ creditors ਜਿਨ੍ਹਾਂ ਨੇ plan oppose ਕੀਤਾ, ਉਨ੍ਹਾਂ ਕੋਲ ਲਗਭਗ 19.186% voting share ਸੀ। Report ਵਿੱਚ banks ਨੇ allegation ਕੀਤਾ ਕਿ ਘੱਟੋ-ਘੱਟ ਪੰਜ entities, ਜਿਨ੍ਹਾਂ ਕੋਲ ਮਿਲਾ ਕੇ 61.78% votes cast ਸਨ ਅਤੇ ਜਿਨ੍ਹਾਂ ਨੇ plan support ਕੀਤਾ, Chandra ਨਾਲ associates ਜਾਂ related parties ਵਜੋਂ linked ਸਨ। Chandra’s office has denied this allegation.
ਇਸੇ point ਨੇ case ਨੂੰ ਹੋਰ ਮਹੱਤਵਪੂਰਨ ਬਣਾ ਦਿੱਤਾ ਹੈ।
IBC ਦੀ Section 109(4) ਮੁਤਾਬਕ debtor ਦਾ “associate” creditor meeting ਵਿੱਚ vote ਕਰਨ ਦਾ ਹੱਕ ਨਹੀਂ ਰੱਖਦਾ। Section 79 “associate” ਦੀ definition ਦਿੰਦੀ ਹੈ—ਜਿਸ ਵਿੱਚ ਕੁਝ relatives, partnerships, certain trusts ਅਤੇ ਉਹ companies ਸ਼ਾਮਲ ਹੋ ਸਕਦੀਆਂ ਹਨ ਜਿੱਥੇ debtor/associates 50% ਤੋਂ ਵੱਧ share capital own ਕਰਦੇ ਜਾਂ board appointment control ਕਰਦੇ ਹੋਣ।
ਇਸ ਲਈ legal question ਸਿਰਫ਼ ਇਹ ਨਹੀਂ ਕਿ ਕੋਈ entity commercially ਜਾਂ informally promoter ਦੇ “close” ਹੈ। ਅਸਲ ਸਵਾਲ ਇਹ ਹੈ ਕਿ ਕੀ ਉਹ IBC ਦੀ statutory definition of “associate” ਵਿੱਚ ਆਉਂਦੀ ਹੈ।
75% Voting Threshold ਵੀ ਮਹੱਤਵਪੂਰਨ
IBC ਦੀ Section 111 ਮੁਤਾਬਕ repayment plan ਨੂੰ creditors present and voting ਦੀ value ਵਿੱਚ more than three-fourths majority ਨਾਲ approve ਕੀਤਾ ਜਾਣਾ ਹੁੰਦਾ ਹੈ।
ਇਸ ਲਈ ਜੇ voting eligibility ਜਾਂ alleged related/associate entities ਦੀ classification ਉੱਤੇ dispute ਹੈ, ਤਾਂ ਉਹ ਸਿਰਫ਼ technical issue ਨਹੀਂ—ਇਹ repayment plan ਦੇ approval mechanism ਦੇ ਕੇਂਦਰ ਵਿੱਚ ਆ ਸਕਦਾ ਹੈ।
Personal Guarantee ਦਾ ਅਸਲ ਮਤਲਬ ਕੀ?
ਇਹ case banking system ਸਾਹਮਣੇ ਇੱਕ broader policy question ਵੀ ਰੱਖਦਾ ਹੈ।
ਜਦੋਂ promoter ਕਿਸੇ company ਦੇ loan ਲਈ personal guarantee ਦਿੰਦਾ ਹੈ, ਤਾਂ principle ਇਹ ਹੁੰਦਾ ਹੈ ਕਿ borrower default ਕਰਨ ਦੀ ਸਥਿਤੀ ਵਿੱਚ guarantor ਦੀ personal liability trigger ਹੋ ਸਕਦੀ ਹੈ। ਪਰ guarantee ਦਾ practical recovery value ਇਸ ਗੱਲ ਉੱਤੇ ਵੀ depend ਕਰਦਾ ਹੈ ਕਿ guarantor ਕੋਲ legally identifiable, attachable ਅਤੇ recoverable assets ਕਿੰਨੇ ਹਨ।
ਇਸ ਕਰਕੇ ਵੱਡਾ ਸਵਾਲ ਬਣਦਾ ਹੈ:
ਜਦੋਂ ਹਜ਼ਾਰਾਂ ਕਰੋੜ ਦੀ corporate lending ਲਈ personal guarantees ਲਈਆਂ ਜਾਂਦੀਆਂ ਹਨ, ਕੀ guarantor ਦੀ net worth ਅਤੇ asset ownership ਦੀ independent verification ਵੀ ਉਸੇ seriousness ਨਾਲ ਹੁੰਦੀ ਹੈ?
Creditors ਨੇ proceedings ਵਿੱਚ Chandra ਦੀਆਂ ਪੁਰਾਣੀਆਂ net-worth certificates ਦਾ ਵੀ ਹਵਾਲਾ ਦਿੱਤਾ। Bar & Bench ਦੀ report ਮੁਤਾਬਕ objecting creditors ਨੇ documents ਦਾ ਹਵਾਲਾ ਦਿੰਦਿਆਂ ਕਿਹਾ ਕਿ 2017 ਵਿੱਚ net worth ਲਗਭਗ ₹45,888 ਕਰੋੜ ਅਤੇ 2018 ਵਿੱਚ ਲਗਭਗ ₹40,562 ਕਰੋੜ ਦਰਸਾਈ ਗਈ ਸੀ, ਜਦਕਿ present net worth ਲਗਭਗ ₹31.79 ਕਰੋੜ ਦੱਸੀ ਗਈ। ਇਹ creditors ਵੱਲੋਂ proceedings ਵਿੱਚ ਉਠਾਇਆ ਗਿਆ contention ਹੈ, ਆਪਣੇ ਆਪ ਵਿੱਚ tribunal ਵੱਲੋਂ fraud ਜਾਂ wrongdoing ਦੀ finding ਨਹੀਂ।
ਇੱਕ ਹੋਰ ਮਹੱਤਵਪੂਰਨ ਗੱਲ: ₹6.25 ਕਰੋੜ ≠ ਸਾਰੇ Corporate Loans ਦੀ Settlement
Social media ਉੱਤੇ ਇਸ case ਨੂੰ ਸਿਰਫ਼ “₹22,000 ਕਰੋੜ ਦਾ ਕਰਜ਼ਾ ₹6.25 ਕਰੋੜ ਵਿੱਚ ਮਾਫ਼” ਲਿਖਣਾ ਪੂਰੀ legal picture ਨਹੀਂ ਦਿਖਾਉਂਦਾ।
NCLT proceeding Subhash Chandra ਦੀ capacity as personal guarantor ਨਾਲ ਸਬੰਧਤ ਹੈ। Principal borrower companies ਦੀਆਂ liabilities ਵੱਖਰੀਆਂ ਰਹਿ ਸਕਦੀਆਂ ਹਨ ਅਤੇ secured creditors ਦੇ collateral/security rights ਵੀ circumstances ਮੁਤਾਬਕ ਜਾਰੀ ਰਹਿ ਸਕਦੇ ਹਨ। LIC Housing Finance ਨੇ specifically ਇਹੀ clarification ਦਿੱਤੀ ਹੈ।

ਇਹ clarification ਹੋਣ ਦੇ ਬਾਵਜੂਦ case ਇੱਕ fundamental issue ਨੂੰ highlight ਕਰਦਾ ਹੈ।
ਜੇ lender ਕਿਸੇ corporate loan ਨੂੰ sanction ਕਰਦਿਆਂ promoter ਦੀ personal guarantee ਨੂੰ additional credit protection ਮੰਨਦਾ ਹੈ, ਤਾਂ ਉਸ guarantee ਦੀ real enforceable value ਕਿਵੇਂ calculate ਕੀਤੀ ਜਾਂਦੀ ਹੈ?

ਅਤੇ ਜੇ insolvency ਦੇ ਸਮੇਂ available personal assets guarantee amount ਦੇ ਮੁਕਾਬਲੇ ਬਹੁਤ ਘੱਟ ਹੋਣ, ਤਾਂ ਕੀ banks ਨੂੰ corporate lending ਦੇ ਸਮੇਂ personal guarantee ਨੂੰ ਘੱਟ weight ਦੇਣਾ ਚਾਹੀਦਾ ਹੈ?

IBC Recoveries ਉੱਤੇ ਵੀ Debate
The Indian Express ਮੁਤਾਬਕ FY 2025-26 ਵਿੱਚ insolvency process ਰਾਹੀਂ banks ਦੀ recovery owed amount ਦਾ ਲਗਭਗ 20% ਰਹੀ, ਜੋ ਪਿਛਲੇ ਪੰਜ ਸਾਲਾਂ ਵਿੱਚ ਸਭ ਤੋਂ ਘੱਟ ਸੀ। ਇਸ ਲਈ Chandra case ਨੇ IBC ਹੇਠ large haircuts ਦੀ broader debate ਨੂੰ ਵੀ ਮੁੜ ਸਾਹਮਣੇ ਲਿਆ ਦਿੱਤਾ ਹੈ।
ਇੱਕ ਪਾਸੇ insolvency framework ਦਾ objective distressed cases ਨੂੰ endlessly litigation ਵਿੱਚ ਰੱਖਣ ਦੀ ਬਜਾਏ commercially viable resolution ਲੱਭਣਾ ਹੈ। ਦੂਜੇ ਪਾਸੇ ਜਦੋਂ recovery admitted claims ਦੇ ਮੁਕਾਬਲੇ microscopic ਹੋਵੇ, creditors ਅਤੇ public financial institutions ਲਈ fairness ਅਤੇ accountability ਦੇ questions ਉੱਠਣੇ ਸੁਭਾਵਿਕ ਹਨ।
Bottom Line: ਇਹ case ਇਸ ਵੇਲੇ ਕਿਸੇ individual ਨੂੰ wrongdoing ਦਾ ਦੋਸ਼ੀ declare ਕਰਨ ਦੀ ਕਹਾਣੀ ਨਹੀਂ ਹੈ। NCLT ਨੇ repayment plan approve ਕੀਤਾ ਹੈ; ਕੁਝ lenders ਨੇ ਇਸਦਾ ਵਿਰੋਧ ਕੀਤਾ ਹੈ; HDFC Bank appeal explore ਕਰ ਰਿਹਾ ਹੈ; ਅਤੇ Chandra ਨੇ ₹22,000 ਕਰੋੜ ਨੂੰ ਆਪਣੀ actual personal-guarantor liability ਵਜੋਂ portray ਕਰਨ ਉੱਤੇ ਇਤਰਾਜ਼ ਕੀਤਾ ਹੈ।
